Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of Listing.Network, operated by MMO IT Solutions (“we”, “us”, “our”), including the Listing.Network early-access and PAREB MLS pilot program.

By creating an account, registering for the pilot, or using the platform, you agree to these Terms. If you do not agree, do not register for or use the platform.

1. The pilot service

Listing.Network is an early-access platform being tested for real estate broker networking, listings, property requirements, matching, messaging, AI-assisted tools, and broker-to-broker collaboration.

The pilot may allow participants to:

• create and maintain a broker profile;
• submit and manage property listings;
• submit buyer, tenant, or property requirements;
• receive possible matches between listings and requirements;
• discover and connect with participating brokers;
• communicate with other participants;
• use AI-assisted tools made available through the platform; and
• participate in event, association, or broker-network groups made available through the pilot.

The pilot is not a final production release. Features may be incomplete, unavailable, modified, added, or removed during testing.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement.

The PAREB MLS pilot is intended primarily for participating licensed real estate brokers and other persons specifically authorized to participate.

We may request or verify information reasonably necessary to confirm your broker status, PRC license information, PAREB association or local board membership, or other eligibility requirements.

We may refuse, restrict, suspend, or deactivate access where eligibility cannot be verified or where continued participation would be inappropriate for the pilot.

3. Your account and identity

You must provide accurate and current information when creating and using your account.

You must not:

• impersonate another person, broker, brokerage, association, board, or organization;
• use another person’s PRC license number, email address, profile photo, professional identity, or credentials;
• create or operate an account on behalf of another person without authorization;
• misrepresent your professional status, brokerage, association membership, authority, or affiliation; or
• allow another person to use your account in a manner that misrepresents who is using the platform.

We may verify your name, PRC broker license number, PAREB association or local board membership, and other information reasonably necessary to confirm your identity or eligibility.

Where we reasonably suspect impersonation, inaccurate information, duplicate accounts, account compromise, or unauthorized use, we may request additional verification and may temporarily restrict or suspend the account while verification is pending.

You are responsible for maintaining the security of your account credentials and for notifying us promptly if you believe your account has been compromised.

4. Broker profiles

Your broker profile may include:

• your name;
• PAREB association or local board;
• PRC broker license number;
• optional brokerage name; and
• optional profile photo.

Certain profile information may be visible to other participating brokers to support professional networking and verification.

You are responsible for ensuring that profile information you provide is accurate and that you have the right to use any photograph or other material you upload.

5. Listings

You may submit property listings to Listing.Network.

You are responsible for ensuring that:

• the information you submit is accurate to the best of your knowledge;
• you have the authority or appropriate basis to submit and use the listing;
• photographs, descriptions, documents, and other materials you upload may lawfully be used for the purposes of the pilot;
• you do not knowingly submit false, misleading, expired, unauthorized, or fraudulent listings; and
• the listing does not contain unnecessary personal, confidential, or sensitive information concerning clients, owners, occupants, or other third parties.

You control the level of accuracy or specificity of the property location you provide. You are not required to provide an exact property address unless you choose to do so.

6. Listing status

Listings may have different states within the platform.

Published — the listing is visible according to the sharing or visibility settings selected for it and may participate in matching.

Private — the listing is shown only to people in your own office and to the groups or boards it is shared with. During the pilot, a new listing is shared with the event group and your board by default. It is not made publicly visible, remains stored, and may continue to take part in matching.

Removed — the listing is taken out of active use, is no longer displayed or used for matching, and is marked for deletion according to our retention practices.

Making a listing private or unpublished is not the same as removing it.

Removed listings may remain temporarily in backups, logs, or other systems where retention is reasonably necessary for security, recovery, legal, or operational purposes.

7. Requirements

Requirements are public by default: they can be seen by participating brokers and by anyone who has the requirement's link. You can change a requirement's visibility when you post it.

You are responsible for ensuring that requirements are genuine and reasonably accurate.

You should not include unnecessary information identifying a buyer, tenant, client, property owner, or other third party.

Where personal or confidential information is necessary, you are responsible for ensuring that you are authorized to disclose it.

8. Matching

Listing.Network may automatically compare listings and requirements to identify possible matches.

Matching may consider information such as:

• location;
• property type;
• transaction type;
• price range;
• size;
• property characteristics; and
• other information provided through the platform.

A match only indicates that certain submitted criteria may be compatible.

A match does not mean that:

• the listing or requirement has been independently verified;
• the property satisfies all of a client’s requirements;
• the broker or other participant has been independently endorsed;
• a transaction will occur;
• the price or terms are appropriate; or
• Listing.Network recommends or endorses a particular property, broker, transaction, or course of action.

If a private listing matches a requirement, the listing owner may be notified and may decide whether to respond or disclose further information.

Private listing information is not automatically revealed merely because a match is identified.

9. Broker connections and cooperation

Listing.Network may help participating brokers discover, contact, and cooperate with one another.

Any referral, co-brokerage arrangement, representation relationship, commission agreement, property transaction, or other professional arrangement arising from a connection made through Listing.Network is between the relevant participants unless expressly agreed otherwise in writing.

Listing.Network does not automatically become a party to such arrangements merely because participants connected or matched through the platform.

Participants remain responsible for complying with applicable laws, licensing requirements, professional rules, association rules, agreements, and obligations governing their transactions.

10. Messaging and communications

Listing.Network may allow participating brokers to communicate through the platform.

You agree not to use messaging or communication features to:

• impersonate another person or organization;
• send spam, bulk unsolicited messages, or repeated unwanted solicitations;
• harass, threaten, intimidate, or deceive another participant;
• request passwords, authentication codes, or other account credentials;
• distribute malicious links, software, or files;
• misuse confidential or private listing information;
• unlawfully collect, disclose, or distribute another person’s personal data; or
• use the messaging system for unlawful activity.

Users may block or report other participants where such functions are available.

11. Information you disclose in messages

You are responsible for information you choose to disclose to another participant.

You should not disclose personal, confidential, sensitive, client, property-owner, transaction, or other restricted information unless you are authorized to do so and the disclosure is lawful and appropriate.

If you voluntarily disclose information to another participant, including:

• contact information;
• client information;
• exact property details;
• documents;
• photographs;
• transaction information; or
• other confidential information,

you understand that the recipient will receive that information and may be able to retain it outside Listing.Network.

Participants receiving such information are responsible for complying with applicable privacy, confidentiality, professional, contractual, and legal obligations concerning its use, storage, and further disclosure.

12. Mistaken disclosures

If you believe you accidentally disclosed personal, confidential, sensitive, client, property-owner, transaction, or other information through Listing.Network, you may contact us and request that the relevant content be removed or access to it restricted.

Where reasonably possible, we may remove or restrict access to the content within Listing.Network.

Removal from Listing.Network does not guarantee that another participant has not already viewed, copied, downloaded, saved, forwarded, photographed, screenshotted, or otherwise retained the information outside the platform.

13. Listing ownership, provenance, and misuse

Listings remain associated with the broker who submitted them or the broker identified as the authorized originating broker.

Listing.Network may retain information concerning listing provenance and origin in order to support attribution and professional cooperation.

You must not:

• present another broker’s listing as your own;
• copy, scrape, reproduce, republish, redistribute, export, or otherwise use another broker’s listing without authorization;
• remove, obscure, or misrepresent the identity of the originating broker;
• use restricted or private listing information for purposes unrelated to the cooperation opportunity for which it was disclosed;
• use information obtained through Listing.Network to improperly circumvent the originating broker;
• interfere with an existing representation, co-brokerage, referral, or commission arrangement in violation of applicable law, professional rules, association rules, or agreement; or
• obtain listing information through deceptive, unauthorized, or technically prohibited means.

Where we reasonably suspect unauthorized copying, listing misuse, circumvention, scraping, or similar conduct, we may restrict access, preserve relevant records, remove content, or suspend or deactivate accounts.

Listing.Network does not determine ownership, commission entitlement, representation rights, or the merits of commercial disputes between brokers unless separately agreed in writing.

14. Operator conflicts and privileged access

Listing.Network personnel may also participate professionally in the real estate industry.

Any non-public information obtained through administrative, support, security, or operator access must not be used for personal brokerage activity, solicitation, competition for listings or clients, circumvention of participating brokers, or other unfair commercial advantage.

Any professional activity by Listing.Network personnel must arise through:

• normal participation in the platform as a user;
• information voluntarily disclosed to them through ordinary platform interactions; or
• a separate professional relationship entered into independently of privileged platform access.

Administrative access to non-public information is intended only for purposes reasonably necessary to operate, secure, support, troubleshoot, verify, moderate, or improve the platform.

Listing.Network personnel do not acquire brokerage, representation, referral, commission, ownership, or other transaction rights merely because information is submitted to or processed by the platform.

15. AI-assisted features

Listing.Network may provide features that use artificial intelligence, machine learning, or similar automated technologies.

AI-assisted features may be used for purposes such as:

• structuring or extracting listing information;
• assisting with listing or requirement entry;
• generating, rewriting, summarizing, or improving text;
• assisting with search, classification, or matching;
• analyzing user-provided content; and
• providing other productivity or workflow assistance.

AI-assisted features may use models operated by Listing.Network or by third-party providers.

AI-generated or AI-assisted output may be inaccurate, incomplete, outdated, inappropriate, or misleading. You are responsible for reviewing and verifying AI-assisted output before relying on, publishing, sending, or otherwise using it.

You must not treat AI-generated output as a substitute for professional judgment, legal advice, valuation, due diligence, verification, or other professional responsibilities.

You should not submit personal, confidential, sensitive, client, owner, transaction, or other restricted information to an AI-assisted feature unless:

• you are authorized to provide the information;
• the disclosure is lawful; and
• the feature is intended to process that information.

Use of AI-assisted features does not make a private listing visible to other participants merely because its information is processed by an AI-assisted feature.

We may change the models, technologies, or service providers used for AI-assisted features as the platform develops.

Processing of personal data through AI-assisted features is further described in our Privacy Policy.

16. Acceptable use

You must not:

• gain or attempt to gain unauthorized access to the platform or another participant’s account;
• bypass access, privacy, security, visibility, or matching controls;
• scrape, harvest, systematically extract, or compile platform data without authorization;
• use automated systems in a manner that places unreasonable load on the platform;
• probe, scan, or test platform security without authorization;
• introduce malware or harmful software;
• submit fraudulent or knowingly misleading content;
• misuse personal or confidential information obtained through the platform;
• interfere with another participant’s use of the service;
• knowingly submit false or malicious reports against another participant; or
• use Listing.Network for any unlawful purpose.

17. Reports, moderation, and enforcement

Participants may report suspected:

• impersonation;
• listing misuse;
• unauthorized copying;
• harassment;
• fraud;
• privacy concerns;
• account compromise;
• security concerns; or
• other violations of these Terms.

We may investigate reports and may, where reasonably appropriate:

• request additional information;
• restrict access to particular features;
• remove or restrict content;
• temporarily suspend an account;
• deactivate an account;
• preserve relevant records;
• warn a participant; or
• refer matters to an association, regulator, law-enforcement authority, or other appropriate party where required or appropriate.

Any action we take under this section is intended to protect the platform and its participants and does not constitute a legal determination of fault, ownership, liability, commission entitlement, representation rights, or contractual rights between participants.

18. No general monitoring obligation

Listing.Network may use moderation, reporting, verification, security, and abuse-prevention tools.

However, we do not undertake to continuously monitor or independently verify every:

• listing;
• requirement;
• message;
• broker profile;
• transaction;
• representation; or
• other user activity.

Participants remain responsible for their own conduct, submissions, communications, professional decisions, and compliance obligations.

19. Early-access nature of the platform

Listing.Network is a pre-release service.

During the pilot:

• features may not always work as intended;
• data structures and workflows may change;
• functions may temporarily become unavailable;
• features may be introduced, modified, or withdrawn;
• access may be limited to selected users, boards, associations, events, or groups; and
• we may reset, migrate, modify, or discontinue portions of the pilot where reasonably necessary for testing and development.

We do not guarantee uninterrupted availability or that any particular pilot feature will form part of the final platform.

20. Pilot pricing and future paid features

Participation in the current early-access pilot is provided without charge unless otherwise stated.

Future releases of Listing.Network may include:

• paid subscriptions;
• credit-based usage;
• optional paid upgrades;
• premium features;
• usage-based tools;
• AI-assisted tools that consume credits or other usage allowances; and
• other commercial offerings.

Some features may require a recurring subscription, while others may require credits that are purchased, granted, or otherwise allocated for specific tools or usage.

Pricing, subscription periods, credit requirements, usage limits, renewal terms, and other applicable commercial conditions will be presented before a user agrees to a paid service.

We will not charge you for a paid service merely because you participated in the free pilot.

Participation in the current pilot does not guarantee that all pilot features will remain free in future releases.

We may change future pricing, credit structures, subscription plans, or commercial offerings, subject to applicable law and any terms already accepted for a paid service.

21. Migration to later releases

Unless you remove applicable content, request deletion where available, or otherwise exercise applicable rights, information created during the early-access pilot may be migrated to later releases of Listing.Network.

This may include:

• your account;
• broker profile;
• listings;
• requirements;
• connections;
• messages or related records where retained;
• verification status; and
• related platform information.

Migration does not guarantee that every pilot feature, field, setting, workflow, pricing arrangement, or user interface will remain unchanged.

Personal-data processing associated with migration and later releases is governed by our Privacy Policy.

22. Account suspension and deactivation

We may suspend, restrict, or deactivate an account where reasonably necessary, including where:

• identity or professional information cannot be verified;
• impersonation or unauthorized use is suspected;
• a PRC license number appears to belong to another person;
• account information is materially false or misleading;
• the account appears compromised;
• the participant misuses listings, requirements, messages, AI-assisted tools, or personal information;
• these Terms have been violated;
• continued access creates a legal, security, professional, or pilot-administration risk; or
• participation is no longer appropriate for the pilot.

A suspended or deactivated account may be prevented from logging in, appearing in broker discovery, submitting listings or requirements, receiving matches, or interacting with other participants.

Deactivation does not automatically delete account data.

If you want personal data deleted rather than merely deactivated, you may request deletion as described in the Privacy Policy.

23. Your content

You retain ownership of content you submit to Listing.Network.

You grant MMO IT Solutions a limited, non-exclusive license to host, store, process, reproduce, format, transmit, and display your content only as reasonably necessary to:

• operate Listing.Network;
• provide the features you use;
• perform matching;
• provide AI-assisted features you choose to use;
• maintain listing provenance;
• administer the pilot;
• provide messaging and networking features;
• maintain security and backups;
• troubleshoot the service; and
• migrate the platform and associated data to later releases.

This license does not transfer ownership of your listings or other submitted content to MMO IT Solutions.

When content is removed, residual copies may be retained temporarily in accordance with our Privacy Policy, backup procedures, security requirements, and applicable law.

24. Intellectual property

Listing.Network, including its software, interface, branding, design, documentation, logos, platform architecture, and technology, is owned by or licensed to MMO IT Solutions and is protected by applicable intellectual-property laws.

Except for your own content and rights expressly granted under these Terms, you may not copy, reproduce, distribute, modify, reverse engineer, create derivative works from, or commercially exploit Listing.Network without authorization, except where applicable law expressly permits otherwise.

25. PAREB, associations, and third parties

The pilot may involve PAREB, participating associations or local boards, service providers, infrastructure providers, communications providers, AI providers, and other third parties.

Their involvement does not necessarily mean that they operate, own, warrant, endorse, or assume responsibility for Listing.Network unless expressly stated.

Separate agreements may govern relationships between MMO IT Solutions, PAREB, participating associations, and other organizations.

26. No professional, legal, valuation, or transaction advice

Listings, requirements, matches, messages, AI-assisted output, tools, and other information available through Listing.Network are provided to support professional users.

They are not substitutes for:

• independent due diligence;
• property inspection;
• title verification;
• valuation or appraisal;
• legal advice;
• tax advice;
• licensing verification;
• authority-to-sell verification;
• client verification; or
• professional judgment.

Participants remain responsible for independently verifying information before relying on it in a transaction.

27. No guarantee of listings, matches, connections, AI output, or transactions

We do not guarantee:

• that a listing or requirement is accurate, complete, current, authorized, or genuine;
• that a particular listing or requirement will remain available;
• that a match will be identified;
• that an identified match is suitable;
• that AI-generated or AI-assisted information is accurate or appropriate;
• that another participant will respond;
• that a broker connection will result in cooperation;
• that a transaction will occur;
• that commissions or fees will be earned; or
• that use of Listing.Network will generate business, income, or other commercial results.

28. Disclaimers

To the extent permitted by applicable law, the early-access platform is provided on an “as is” and “as available” basis.

We do not warrant that the pilot will be uninterrupted, error-free, complete, secure in all circumstances, or suitable for every intended use.

Nothing in these Terms excludes or limits rights or obligations that cannot lawfully be excluded or limited under Philippine law.

29. Limitation of liability

To the maximum extent permitted by applicable law, MMO IT Solutions will not be liable for indirect, incidental, special, exemplary, or consequential damages arising from use of the pilot, including loss of business opportunities, profits, commissions, or data.

MMO IT Solutions is not responsible for the acts, omissions, representations, communications, agreements, transactions, or professional decisions of participating brokers or other third parties merely because they connected or interacted through Listing.Network.

Nothing in these Terms limits liability where such limitation would be prohibited by applicable law.

30. Privacy

Our processing of personal data is governed by the Listing.Network Privacy Policy.

The Privacy Policy describes, among other matters:

• information collected for broker profiles and verification;
• listings and requirements;
• private-listing matching;
• broker networking;
• messaging-related information;
• AI-assisted processing;
• technical and security information;
• third-party service providers;
• retention;
• account deactivation;
• removal and deletion;
• migration to future releases; and
• your rights under applicable privacy law.

31. Changes to the pilot and these Terms

Because Listing.Network is in early access, we may modify the pilot and these Terms as the service develops.

Where changes are material, we will provide reasonable notice through the platform, email, or another appropriate method.

Where a material change affects your rights or obligations, we may require acceptance of the revised Terms before continued use of the platform.

Material commercial changes relating to paid services will be presented before they apply to a new purchase, subscription, renewal, or other paid use where required.

32. Ending your participation

You may stop using Listing.Network at any time.

Where platform functions are available, you may:

• make listings private or unpublished;
• remove individual listings; or
• request account deactivation or deletion as applicable.

Stopping use, deactivating an account, or ending participation does not necessarily cause immediate deletion of all information. Retention and deletion are governed by our Privacy Policy and applicable law.

Stopping participation in the free pilot does not create an obligation to purchase any future Listing.Network service.

33. Governing law and disputes

These Terms are governed by the laws of the Republic of the Philippines.

Disputes arising from these Terms or use of Listing.Network will be subject to the jurisdiction of the appropriate courts of the Philippines, subject to applicable procedural law and rights that cannot lawfully be waived.
